2022 Celebrating the 7th Anniversary of PingPong Payment Promotion Offer Rules

These Terms and Conditions of Use (the "Terms") describe the terms and conditions under which PingPong Global Solutions Inc.(“PingPong”) makes available to existing PingPong users on and before 18th November 2022 ("Existing User”) and the new users (“New User”) who register PingPong account during the 2022 Celebrating the 7th Anniversary of PingPong Payment Promotion Offer period (as defined below).

The Promotion Offer is exclusively reserved, to PingPong account holders who have activated their PingPong account & completed Know Your Customer (“KTC”) procedure. By logging in with their PingPong account to register for the Service, a user ("You" and “Your” in these Terms) expressly acknowledges and accepts to be bound by these terms. The terms constitute a contract between You and PingPong (hereinafter: “we” or “us” in these Terms) and apply to your use of PingPong account during the Promotion Offer period. These Terms replace any previous version You may have received or have in your possession.

You acknowledge that you have read, agree with and accept all the terms and conditions contained in the Terms for the 2022 Celebrating the 7th Anniversary of PingPong Payment Promotion Offer. You agree that any use by You of the Service shall constitute your acceptance of the Terms. We may revise these Terms at any time by posting an updated version on our website. The revised version will be effective at the time we post it. Protecting Your privacy is very important to PingPong. PingPong is regulated under the EU’s General Data Protection Regulation (GDPR) and the 23 NYCRR 500, the New York Department of Financial Services’ cybersecurity regulations. PingPong cooperates with the Financial Intelligence Unit for each of the jurisdictions in which it operates and submits financial transaction reports when requested by the appropriate regulator.

What is the period of 2022 Celebrating the 7th Anniversary of PingPong Payment Promotion Offer?

The offer is valid for transactions during the period from 18th November 2022 to 31th January 2023.

Eligibility Requirements – Who can avail this offer?

The participant can either be Existing user or a New user who registers the PingPong account during the offer period. The Participant should click “Opt-in” button and submit the simple form to participate this promotion. Any users who did not apply through “Opt-in” process are not eligible for this promotion.

For which currency accounts this offer is valid?

This offer is valid for the USD, GBP, EURO, JPY, CAD & AUD, MXN, AED receiving currencies. The equivalent USD amount for the said currencies will be considered as minimum volume. The relevant foreign exchange rate shall be determined by PingPong according to exchange rate on the day of each transaction.

What is the detailed scheme of the offer?

The sellers who meet the minimum volumes during the Promotion Offer period will be eligible for the reward according to the business volume during the offer period.

Terms of Prize offered

• Each prize is unique for the Volume slab. Each registered user is eligible for 1 volume categories only. No two volumes category will be combined for one user.
• We shall make reasonable efforts to provide the brands as mentioned in the Table 1, but does not guarantee that the same brand will be provided by us. In case of any change, we will make reasonable efforts to provide a product with similar fair market price determined by PingPong.

Proposed Cash Bonus Plan (Coming soon)

• New User only: valid until Dec 31, 2022
  Up to USD 1,500 cash bonus for PingPong offline payment transaction only.
  • This promotion is only valid for PingPong clients who receive money from third-party buyers offline directly via PingPong.

Communication:

• The promotional offer is eligible for only those who already applied opt-in for participating this promotion. Not open for all. Email will be sent by PingPong Sale team
• In case you have any questions regarding the Promotion Offer or these rules you can contact us via email at help@pingpongx.com.
  • For new and registered users: Any question regarding prize or your eligibility for a prize should be made within 15 days from the end date of this campaign.
• The decision made by us will be final and binding with respect to the prizes, and no correspondence, objection, complaints, etc. will be entertained in this regard.

Winner Notification

• We will notify winners within 15 days from the end of the Promotion Offer period (based on PingPong internal records and volume tracking as detailed), by email, the email address or phone number designated in the user’s PingPong account. Shortly following the announcement of the winners, we will send the prizes to the winners according to the records available.
• The winner must inform the correct delivery address when submitting the Opt-in form with shipping address.
• Winners of the Promotion Offer authorizes the posting of his/her name and picture on PingPong’s Facebook page, PingPong website, PingPong blog, and on any other medium that PingPong deems appropriate, except where prohibited by law.
• We may, at our sole discretion, disqualify any potential winner, and may select an alternate winner from among the remaining eligible entries, if one of the circumstances occurs:
  • potential winner fails to respond to the first attempted winner notification within five (5) working days ("Response Time"),
  • any attempted winner notification is returned as undeliverable, or
  • potential winner fails to provide any required additional information or documents requested by us.

Disbursement of Prizes

• Prize will be delivered to winners within 60 days from the end date of the Promotion Offer Period.
• The prizes (Gifts) will be subject to availability at the time of disbursement. In case of non-availability of mentioned Prize, the closest item with a similar price will be given to the winner to choose.
• PingPong will not be liable for any loss, damage, theft, or another misplacement of the prizes once dispatched to your registered address.

Other Fees

• Winners will bear all charges on account of registration, insurance, or any other government levies in relation to the prizes.
• Winners shall also bear any compliance, and third-party claims that may arise from the prize offered.

Taxes

• Winners are solely responsible for any applicable and unspecified expenses in conjunction with acceptance/use of a prize, including federal, provincial, state and local taxes including withholding tax, Goods and Service Tax or any other taxes applicable directly or indirectly) now or hereafter levied or imposed by the Government Authority resulting from this Promotion Offer. All federal, state/provincial and/or local income and other taxes, if any, are the winner’s sole responsibility. All winners are responsible for providing PingPong with all documents and information necessary for PingPong to comply with any applicable tax laws, and failure to do so within five (5) days of PingPong’s first request for these may result in disqualification.
• You shall also be responsible for any other compliance that may arise from the prize offered.

Additional Rules

• Quality/performance of prizes offered are as per the warranty provided by the manufacturer of the product and we cannot be held responsible for the same. We provide the product on the basis of “as it” and you shall contact the manufacturer of the product directly instead of PingPong.
• By participating in the Promotion Offer, you hereby irrevocably and unconditionally consent to the terms and conditions of the Promotion Offer.
• Minimum Volume will be calculated by us within 30 days from the end of the Promotion Offer Period, based on our internal records. You agree to accept PingPong’s decision as final, and binding and all prizes will be based on the Minimum Volume as recorded by PingPong.
• If it comes to the notice of PingPong that any governmental, statutory, or regulatory compliances or approvals are required for conducting the Promotion Offer or if it comes to the notice of PingPong that conduct of the Promotion Offer or any part of it is prohibited, then PingPong may withdraw and / or cancel such Promotion Offer without prior notice to you. You agree not to make any claim in respect of such cancellation or withdrawal of the Promotion Offer in any manner.
• PingPong may, at its sole and absolute discretion, disqualify any participant from the Promotion Offer if such participant engages in or is found that to be engaged in any illegal, unlawful or improper conduct (with regard to any of the Promotion Offer or otherwise).
• PingPong reserves the right to withhold or forfeit the benefits of the Promotion Offer (including any prizes earned by) in the event that it determines or reasonably believes that participant has violated these Rules or the standard Terms and Conditions of PingPong.
• PingPong reserves the right to change/modify/or withdraw the Promotion Offer and/or change these Rules without any prior notice of the same, at its sole discretion.
• PingPong does not make any commitment, express or implied, to respond to any feedback, suggestion and/or queries of the Eligible Customers.
• The failure of PingPong to exercise or enforce any right or provision of these Promotion Offer Rules shall not constitute a waiver of such right or provision.
• PingPong will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Promotion Offer, and PingPong’s decisions concerning such disputes shall be final. If the conduct or outcome of the Promotion Offer is affected by human error, or by any mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, intentional interference, or any event beyond the control of PingPong, PingPong reserves the right to terminate this Promotion Offer, or make such other decisions regarding the outcome as PingPong deems appropriate. All decisions will be made by PingPong and are final and binding in all respects.
• Participation in the promotion is only available to residents in Korea and the companies registered in Korea.
• All information submitted in connection with this Promotion Offer will be treated in accordance with these Rules and PingPong Privacy Policy.
• The participant needs to continue using PingPong until 28th Feb, 2023.
• PingPong can extend the duration of the offer at any time and at its sole discretion.

Waiver of Liability and Agreement to Indemnify

By participating in the Promotion Offer, each participant, its, his, her or their heirs, successors and assigns thereof releases, discharges and covenants not to make a claim against PingPong, its subsidiaries and affiliates, licensees, employees, officers, directors, representatives, successors and assigns related in any way to the Promotion Offer or the receipt or use of any prize. Each participant waives and foregoes the right to seek injunctive relief against anyone related in any way to the Promotion Offer.

Disputes Resolution

Except where prohibited by any applicable law, participant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this promotional offer or any prize awarded shall be resolved individually, without resorting to any form of class action, lawsuit or arbitration; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion Offer, but in no event attorneys’ fees; and (3) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket Severability. In the event that any provision of these Terms and Conditions is determined to be indefinite, invalid, unlawful, void or otherwise unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions of the Terms and Conditions.

Any ambiguities in the interpretation of these Terms and Conditions shall not be construed against the drafting party.

Force Majeure

PingPong shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to any failure to perform due to unforeseen circumstances or cause beyond PingPong’s control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
